Terms of Service

These Terms of Service (the “Terms”) govern access to and use of Vastrid’s websites, applications, and related services (collectively, the “Service”). By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you use the Service for a clinic or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

1. What Vastrid provides

Vastrid is a healthcare content operating system. The Service helps clinics create, import, classify, enrich, review, organize, analyze, schedule, and publish marketing content. Features may include AI-assisted drafting, specialty knowledge packages, content recommendations, analytics, Google Business Profile tools, website and WordPress connections, and other integrations.

2. Eligibility and accounts

You must be at least 18 years old and able to enter a binding agreement. You must provide accurate account information, protect your credentials, maintain appropriate access for your team, and promptly notify us at support@vastrid.com if you suspect unauthorized access. You are responsible for activity performed through your account and for obtaining any permissions needed from your personnel.

3. Healthcare information and prohibited data

Do not submit protected health information (PHI), patient records, patient names, or other patient-identifying information to the Service. Vastrid is designed for clinic marketing content, not patient care, medical records, diagnosis, treatment, emergency communication, or clinical decision-making. You may submit PHI only if Vastrid has expressly approved the specific use in writing, the parties have signed any required agreement (including a business associate agreement), and the applicable Vastrid feature has been identified as supporting that use.

4. Your content and responsibilities

You retain ownership of content and information you submit, import, create, or authorize through the Service (“Customer Content”). You grant Vastrid a limited, worldwide license to host, copy, process, modify, transmit, display, and otherwise use Customer Content only as needed to provide, secure, maintain, and improve the Service and fulfill your instructions.

You represent that you have all rights and permissions necessary for Customer Content and its publication. You are responsible for final editorial approval, factual and clinical accuracy, accessibility, required disclosures, professional advertising rules, copyright and trademark compliance, and compliance with laws and platform policies that apply to your clinic.

5. AI-assisted content

The Service may use artificial intelligence to generate or revise text, images, suggestions, classifications, and other output. AI output can be incomplete, inaccurate, non-unique, or unsuitable. It is not medical, legal, regulatory, or other professional advice. You must review and approve output before relying on or publishing it. Vastrid does not replace the judgment of qualified healthcare, legal, compliance, or marketing professionals.

6. Integrations and publishing

You may connect third-party services such as Google, WordPress, analytics providers, or payment processors. You authorize Vastrid to access and act on those services only as directed by you and permitted by the access you grant. Third-party services have their own terms, policies, availability, and technical limits. You are responsible for the accounts you connect and may disconnect supported integrations through the Service or the third party.

Publishing, scheduling, and analytics depend on third-party systems and network availability. You remain responsible for reviewing the destination, timing, status, and final published result.

7. Fees, subscriptions, and taxes

Paid plans, prices, billing periods, included usage, and any trial or cancellation terms are presented when you subscribe or in an applicable order. Unless stated otherwise, subscriptions renew for the same billing period until canceled. Payments are processed by Stripe or another disclosed payment provider. You authorize applicable recurring charges and are responsible for taxes other than taxes imposed on Vastrid’s income. You can manage an eligible subscription through the billing portal or contact support. Except where required by law or Vastrid expressly agrees otherwise in writing, all payments are non-refundable.

8. Acceptable use

You may not use the Service to violate law; infringe or misappropriate rights; publish deceptive, discriminatory, defamatory, or unlawful material; distribute malware or spam; probe or bypass security or usage limits; gain unauthorized access; interfere with the Service; scrape or resell the Service except as authorized; or use output without the review required by these Terms. You may not use the Service for emergency or patient-specific communications.

9. Vastrid property and feedback

Vastrid and its licensors retain all rights in the Service, software, designs, documentation, models, workflows, and branding, excluding Customer Content. Subject to these Terms, Vastrid grants you a limited, non-exclusive, non-transferable right to use the Service during your subscription. If you provide feedback, you permit Vastrid to use it without restriction or compensation.

10. Availability and changes

We work to keep the Service reliable but do not guarantee uninterrupted or error-free operation. We may maintain, improve, add, change, or discontinue features. Preview or beta features may be less reliable and may change or end. We will use reasonable efforts to communicate material changes that significantly reduce core paid functionality.

11. Suspension and termination

You may stop using the Service at any time and may cancel a paid subscription as described at purchase. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or misuse the Service. Where practical, we will provide notice and an opportunity to cure. Contact support about export or deletion of Customer Content; availability may depend on the feature, retention obligations, and your account status.

12. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” Vastrid disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. Vastrid does not warrant that content, recommendations, analytics, integrations, or AI output will be accurate, complete, compliant, available, or produce a particular business result. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law, neither Vastrid nor its suppliers will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, use, or data, arising from the Service. Vastrid’s total liability arising from the Service will not exceed the amount you paid to Vastrid for the Service during the 12 months before the event giving rise to the claim. These limits do not apply where liability cannot legally be limited.

14. Changes to these Terms

We may update these Terms as the Service or law changes. We will update the date above and provide additional notice when required. Material changes apply prospectively. Continued use after an updated version takes effect means you accept the updated Terms.
